NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (the 'Agreement') is entered into as of the date of last signature (the 'Effective Date'), by and between Metever Technology Pvt. Ltd. ('Company') and the undersigned party ('Receiving Party').

1. Confidential Information
Confidential Information includes all non-public information disclosed by either party, including but not limited to business plans, technical data, designs, drawings, specifications, financial information, and customer lists.

2. Obligations
The Receiving Party agrees to:
   a) Use Confidential Information only for the purpose of evaluating a potential business relationship;
   b) Not disclose Confidential Information to any third party without prior written consent;
   c) Protect Confidential Information using reasonable care.

3. Exclusions
Confidential Information does not include information that:
   a) Is or becomes publicly available without breach of this Agreement;
   b) Was already known to the Receiving Party prior to disclosure;
   c) Is independently developed without use of Confidential Information.

4. Term
This Agreement shall remain in effect for a period of two (2) years from the Effective Date.

5. Governing Law
This Agreement shall be governed by the laws of India.
